Oslo, Entra ASA ("Entra", the "Company", OSE ticker code: "ENTRA") announces the successful completion of the bookbuilding period for its initial public offering (the "Offering").

In summary

- Entra will issue 41,538,461 new shares in connection with the Offering, raising gross proceeds of NOK 2,699,999,965. There will in total be 183,732,461 shares in issue following the issuance of the new shares.

- The Norwegian Government, represented by the Ministry of Trade, Industry and Fisheries (the "Selling Shareholder"), will sell 38,929,766 shares in the Offering, representing approximately 21.2% of the shares of Entra following the issuance of the new shares sold in the Offering. The Selling Shareholder will retain an ownership of approximately 56.2% in the Company following the Offering, prior to the exercise of the over-allotment option granted by the Selling Shareholder as further described below.

- The Managers have over-allotted 12,070,234 shares, representing approximately 15% of the number of shares sold in the Offering before over- allotment, and exercised their option to borrow an equal number of shares from the Selling Shareholder for the purpose of covering the over-allotments. In case of full exercise of the over-allotment option (as described below) by the Managers, the Selling Shareholder's shareholding in the Company will be reduced to approximately 49.6%.

- The shares are priced at NOK 65 per share. The price implies a market capitalisation of Entra of approximately NOK 11.9 billion.

- Trading of the shares in Entra on Oslo Børs will commence on 17 October 2014 on an "if sold/if issued" basis (conditional trading), as further described in the separate stock exchange notice regarding conditional trading published today.

Approximately 90% of the shares in the Offering were allotted to investors in the institutional offering, approximately 9.8% of the shares were allotted to investors in the retail offering and approximately 0.2% of the shares were allotted to investors in the employee offering. Following the Offering, Entra is expected to have approximately 6,000 shareholders.

Notifications of allotted shares and the corresponding amount to be paid by investors are expected to be communicated to investors on 17 October 2014. Investors having access to investor services through their VPS account manager will be able to check the number of shares allocated to them from approximately 08:00 hours (CET) on 17 October 2014. The Managers may also be contacted for information regarding allocation.

The Selling Shareholder has granted the Managers an over-allotment option, exercisable by Goldman Sachs International as stabilisation manager within 30 days from the date hereof to cover over-allotments or other short positions in connection with the Offering. A separate disclosure will be issued by the stabilisation manager regarding the over-allotment and stabilisation activities.

John Fredriksens Geveran Trading Co. Ltd. har sikret seg 18.350.000 aksjer i Entra ASA i forbindelse med børsnoteringen av selskapet fredag. Det tilsvarer 9,99 prosent av selskapet.

Med en IPO-kurs på 65 kroner legger Fredriksen 1,2 milliarder kroner på bordet.

Torsdag ble det kjent at Geveran Trading har kjøpt ytterligere 11.337.235 aksjer i Norwegian Property. Eierandelen her er på 30,3 prosent.

ENTRA's første børsdag endte bra, opp 3.1% til 67/aksje (dog på en positiv børsdag hvor OSEBX var opp nesten 4%).

Omsetning - nesten 6 mill aksjer (utenom de som ble overført ifm. emisjonen/utsalget).

Da Entra gikk på børs fredag var investor John Fredriksen en av dem som gikk tungt inn i selskapet.

Rett over børsåpning ble det klart at Geveran Trading, Fredriksens investeringsselskap) hadde sikret seg 18.350.000 aksjer i Entra som tilsvarer en eierandel på 9,99 prosent i børdebutanten.

Fredriksen har også kjøpt seg kraftig opp i eiendomsselskapet og bransjekameraten NPRO, og sitter på 30,3 prosent av den totale aksjebeholdningen.

Mulig fusjon?

Det får mange til å spekulere i om det kan gå mot fusjon mellom de to selskapene, men analytiker i Enskilda, Truls Engene, sier til Hegnar.no at han ikke tror det vil skje med det første.

En fusjon mellom Entra og NPRO har det vært spekulert mye i tidligere. Vi skal ikke utelukke at det kan skje på sikt, men nå Entra på børs og man har fullt fokus på det, så får vi se hvordan det utvikler seg fremover, sier analytiker Truls Engene i Enskilda til Hegnar.no.

Han tror ikke en mulig fusjon står øverst på agendaen nå, men sier at det er ikke utenkelig at det kan skje noe på sikt.

Ønsker å investere i norsk eiendom

Det er interessant å se er at Fredriksen tar over 20 prosent av hele plasseringen i Entra og eier nå nær 10 prosent av selskapet. Det bekrefter tidligere uttalelser om at de ønsker å investere i norske eiendom, kommenterer Engene.

Han peker på at Fredriksen-systemet har solgt seg ned i andre selskaper, og ser ikke bort fra at dette kan dreie seg om porteføljediversifisering.

Overraskende

Det var ikke direkte overraskende at han gikk inn i NPRO på det tidspunktet han gjorde, da aksjekursen reflekterte en til dels høy rabatt mot underliggende verdier (verdijustert egenkapital), sånn sett gikk han inn på et gunstig tidspunkt, sier Engene og fortsetter;

Det var kanskje mer overraskende at han har blitt så stor i NPRO såpass raskt, og nå tar en stor del av plasseringen i Entra.

Det ble avkorting i emisjonen for min bestilling, fikk litt under 1/2-parten av bestillt, slik at jeg måtte kjøpe resten oer børs (til høyere kurs, dessverre).

ENTRA: Entra ASA - Third quarter 2014 - Significant rental growth and positive value changes

Rental income increased to NOK 425 million against NOK 375 million in the same quarter last year. Net income from property management was NOK 344 million compared to NOK 286 million in the third quarter of 2013. Positive value changes in the property portfolio amounted to NOK 354 million (NOK -102 millon). Profit before tax was NOK 520 million (NOK 107 million), while profit after tax was NOK 368 million (NOK 79 million) in the quarter.

"We are pleased to have achieved 13 % growth in rental income and 20 % growth in net income from property management", says Klaus-Anders Nysteen, CEO in Entra.

The increase has been driven by completion of several development projects, net property acquisitions and an underlying like-for-like growth of 2.7 %.

"I am proud that we have delivered on our profitable growth strategy, at the same time as the privatisation process has taken place. We are pleased with the successful outcome of the IPO and I will use this opportunity to welcome close to 6,700 new shareholders in the company," adds Klaus-Anders Nysteen

Letting

Entra signed new and renegotiated leases with an annual rent totalling NOK 30 million (15,063 square metres) and received notices of termination on leases with an annual rent of NOK 2 million (852 square metres). The increase in rent on the renegotiated contracts was on average 14 %.

Project development

Entra has started new projects both in Sundtkvartalet in Oslo and at Hinna Park in Stavanger during the quarter. In Sundtkvartalet, a new flexible multi-tenant office building of approximately 31,000 square metres is currently under construction. The project is a 50/50 joint-venture with Skanska. At Hinna Park the construction of Gullfaks, a 17,400 square metre office building has started. Both projects have high ambitions in terms of environmental standards and are aiming for BREEAM Excellent classifications.

The new "Knowledge centre" at Otto Sverdrups plass 4 in Sandvika was opened in August, representing an important urban development project with a high environmental standard. The new school building at Kongsgård Alle 20 in Kristiansand was also finalised in the quarter.

ENTRA: Entra ASA - Construction contract for Media City Bergen

Entra OPF Utvikling AS ("Entra OPF") and HENT AS has entered into a fixed-cost contract for a total renovation and extension of Lars Hilles Gate 30 in Bergen. Entra OPF is owned by Entra and Oslo Pensjonsforsikring with 50 per cent each.

Through this innovative project, Entra OPF will create the largest media cluster in the Nordics, co-locating the important operators in the media industry in Bergen in one office building; "Media City Bergen". The contract value is approximately NOK 1 bn. The property consists of approximately 35,000 m and it is planned to extend this by around 10,000 m to a total of 45,000 m. Construction will begin in Q4 2014.

At the end of 2012, Entra OPF won the competition to house an innovative and leading media centre for around 1,200 media employees and students. Since the beginning of 2013 Entra has worked closely with the media companies to arrive at the best solutions for establishing Media City Bergen.

TV 2, NRK, Bergens Tidende, Bergensavisen, the media faculty of Bergen University and the graphics company Vizrt have all decided to move their operations in Bergen to Lars Hilles Gate 30 and have entered into lease contracts with Entra OPF. The project is currently let around 67 %.

The property will be a landmark building and will be an important part of the development of the area around Nygårdstangen in Bergen. The project has a total investment budget of approximately NOK 1.5 billion, including the building's current value.

DNB Markets og Danske Bank Markets har begge startet dekning av børsferskingen Entra.

Mens førstnevnte har en salgsanbefaling og kursmål 68 kroner, har sistnevnte kjøpsanbefaling og (12 måneders) kursmål på 88 kroner.

Det går ifølge TDN Finans frem av oppdateringer onsdag.

DNB Markets har ifølge analytiker Simen Mortensen ikke noe å utsette på kvaliteten i Entras eiendomsportefølje. Derimot liker han ifølge nettstedet ikke at Entras administrative kostnader er godt over alle andre nordiske eiendomsaktører meglerhuset dekker.

Danske Bank Markets finner det ifølge TDN positivt at John Fredriksen ble selskapets største nye eier.

Kostnadsnivå demper avkastning

Kostnader på 2.2x nivået forøvrig i bransjen gjør at Entra etter vårt syn bør handles med rundt 25% rabatt i forhold til estimert NAV. Dette fordi implisitt EBIT-avkastning reduseres med 120-130 basispunkter mot netto leiebasert yield. Press på yieldkravet i markedet og nye prosjekter vil kunne løfte NAV, men kostnadene må ned rundt 40%, betydelig mer enn kommunisert målsetting, før selskapet er på nivå med bransjen og vil kunne verdsettes på full P/NAV. Vi tar opp dekning med en salgsanbefaling og et kursmål på NOK 68 pr aksje.


Gode eiendeler, attraktive leietagere
Med en gjeldsandel på rundt 50% av eiendomsverdiene, gjennomsnittlig durasjon i leiekontraktene på 7.4 år, 72% av arealene utleid til offentlige virksomheter og en avkastning på NAV på 6.4% har Entras portefølje en bedre kvalitet enn de fleste aktørene i det norske markedet. Med staten som betydelig eier har selskapet i tillegg en av de laveste innlånsmarginene i sektoren.

Kostnadene en risikofaktor
Kontantstrøm og inntjening ligger imidlertid betydelig under aktører med sammenlignbar gjeldsgrad og leieavkastning. Etter vår mening skyldes dette et kostnadsnivå klart over andre selskaper vi følger i den nordiske eiendomssektoren, målt både som prosent av netto leieinntekt og i forhold til investert kapital i porteføljen. Basert på P/NAV i forhold til kostnadsnivå hos sammenlignbare aktører ser vi risiko for at aksjen vil verdsettes med en rabatt på rundt 20-30% i forhold til NAV.

Betydelige kostnadskutt nødvendig
For å få en verdsettelse basert på full P/NAV mener vi selskapet må redusere kostnadene med minst 40%, betydelig mer enn kommunisert målsettingen og mer enn vi venter er mulig basert på driftsmessige og arbeidsrettslige begrensninger. Våre estimater tar utgangspunkt i selskapets mål om å få kostnadsnivået ned til nivået i 2012 (med inflasjonsjusterte lønnskostnader), hvilket vi estimerer fortsatt vil være 78% over gjennomsnittet for sektoren i 2016. Regnskapsmetodikken vil kunne være en faktor, men direkte eiendomskostnader bokført under sentrale administrasjonskostnader vil inflatere netto leieinntekter i forhold til sammenlignbare aktører og forklarer hvorfor den EV-baserte verdsettelsen er blant den høyeste for sektoren. Etter vårt syn reflekterer allerede verdsettelsen større kutt i kostnadene enn vi venter vil kunne gjennomføres, og større kutt en selskapets kommuniserte målsetting.

Løft i NAV ikke tilstrekkelig - innleder dekning med en salgsanbefaling
Begrensede verdsettelsesgevinster på eiendommene de siste to årene, utviklingsprosjekter og en moderat verdsettelse på 6.4% av netto leieinntekt åpner for en oppjustering av NAV, men vi ser samtidig begrenset potensial for økninger i leieinntektene

Entra has sold the property Skansegaten 2 in Stavanger to Tollboden Eiendom Stavanger AS, a company fully owned by Camar Eiendom AS. The property is 4,379 sqm and the transaction price is NOK 110 million which is close to current book value in Entra. Closing will take place on 9.1.2015

Entra has also sold the property St. Olavs gate 4 in Oslo to St. Olavs gate 4 AS. The property is 4,100 sqm and the transaction price is NOK 82 million which is close to current book value in Entra. Closing takes place on 9.12.2014.

The transactions are in accordance with Entra's strategy of growth in the four largest cities in Norway and to divest non-core assets.

Entra has sold Grønnegata 122 to William Eiendom AS. The transaction is based on a property value of NOK 72 million, which is 47 % above current book values. The property is 6.600 sqm and is located in the center of Tromsø.

The sale is in accordance with Entra's strategy of growth in the four largest cities in Norway and to divest non-core assets.

The transaction is structured as sale of shares in the company Grønnegata 122 AS. Closing is expected to take place on 30 April 2015.

Entra has entered into a lease contract with Norwegian Medicines Agency for a total of 6,500 sqm in Strømsveien 96 at Helsfyr in Oslo. The lease contract duration is 15 years.

We are very pleased to welcome Norwegian Medicines Agency as a new tenant in Strømsveien 96. Entra selger eiendom for 1,4 milliarder

Eiendomsselskapet Entra selger en portefølje av seks eiendommer i Østfold og Lillestrøm for en total eiendomsverdi på 1,375 milliarder kroner.

Avtalen er inngått med Hemfosa Fastigheter AB og gir Entra en gevinst på 17 prosent i forhold til bokførte verdier ved utgangen av september i fjor.

Salget er i tråd med Entras strategi om å selge eiendeler utenfor kjernevirksomheten, skriver selskapet i en melding.

- Entra er en aktiv porteføljeforvalter og vi drar nytte av det konkurransedyktige transaksjonsmarkedet vi ser for øyeblikket. Vi kan nå fokusere vår innsats rundt vår strategi om ytterligere vekst innenfor de fire største byene i Norge, sier Entra-sjef Klaus-Anders Nysteen.

Fullføring av avtalen er ventet senest 27. februar i år, og forutsetter at kjøper skaffer finansiering.

Entra-sjefen slutter på dagen...

Klaus-Anders Nysteen slutter på dagen som administrerende direktør i eiendomsselskapet Entra for å bli konsernsjef i inkassoselskapet Lindorff.

Nysteen fratrer stillingen med umiddelbar effekt og styret har vedtatt å Konstituere finansdirektør Arve Regland som Entra-sjef.

Nysteen vil stå til disposisjon for selskapet ut februar.

- Nysteen har gjort en meget god jobb med å forberede og gjennomføre privatisering og børsnotering av Entra og styret takker ham for solid innsats i de to årene han har vært administrerende direktør i selskapet, sier styreleder Siri Hatlen i Entra.

- Entra er et svært godt rustet til en videre positiv utvikling til glede for kunder og eiere. Selskapet har en kompetent og profesjonell organisasjon og en sterk markedsposisjon, sier Nysteen.

Innsidekjøp av CEO i Entra

Han ble fast ansatt som CEO for 2 dager siden, etter en periode som interim CEO etterat den gamle gikk til Lindorff (som Highlander skrev om i tidligere innlegg).

Passet ham sikkert bra at ENTRA har korrigert (sammen med andre eiendomsselskap som OLT og NPRO) etter en periode med P/E-ekspansjon pga. synkende rentenivå.

Men, ENTRA har jo også nettopp gitt utbytte også.

Oslo - The Board of Directors of Entra ASA has appointed Arve Regland (43) as the company's new Chief Executive Officer (CEO). Mr Regland has been acting CEO since February this year when the previous CEO Klaus-Anders Nysteen decided to leave Entra to take up a similar position in Lindorff Group.

"There has been a thorough recruitment process where internal and external candidates have been assessed. The Board of Directors is very satisfied that Arve Regland has accepted the position as CEO of Entra", says Chairman of the Board Siri Hatlen.

Arve Regland has been Entra's Chief Financial Officer (CFO) since January 2014 and played a key role in the preparations and execution of Entra's successful IPO in October 2014.

Prior to joining Entra he was partner at ABG Sundal Collier from 2004 to 2014, where he has broad experience from the real estate sector. Before that he has been working at Arthur Andersen & Co, Ernst & Young and the Oslo Stock Exchange. He holds a MSc in Business from BI Norwegian Business School and is State Authorized Public Accountant from Norwegian School of Economics.

Arve Regland has maintained the position as CFO in his period as acting CEO. Following today's appointment Entra will start a process to recruit a new CFO.

ENTRA: Entra ASA - Terminates interest rate swaps with a notional amount of NOK 2 billion

Oslo - To reduce average interest rate and improve forthcoming cash flow Entra has terminated old and expensive interest rate swaps with a notional amount of NOK 2 billion. The transaction will furthermore contribute to adapt the interest rate hedge portfolio to the lower debt level resulting from divestments of non-core assets in Q4 2014 and Q1 2015.

The termination fee is approximately NOK 115 million, which will increase realised financial costs in the quarter and reduce actual cash earnings in 2015. The termination fee will however be defined as a one-off item and will thus not reduce cash earnings as a basis for dividend for 2015.

As a result, Entra's average interest rate has decreased to 3.96 % as of 30.06.2015.

At the end of the first quarter 2015 the average interest rate was 4.66 %.

During the first half of 2015, Entra has entered into new 10 year interest rate swaps with a notional amount of NOK 700 million. These swaps have a forward start period of approximately 3 years and an average interest rate of 2.32 %. Entra intends to expand the forward start swap portfolio further going forward in order to secure current interest rate levels when existing swaps mature.

Enclosed is a detailed table, as published in the quarterly report, showing the maturity profile and contribution from floating-to-fixed interest rate swaps used for hedging purposes as well as maturity profile for credit margins on debt as of 30.06.15 (post abovementioned transactions).

Oslo - Entra ASA recorded rental income of NOK 423 million in Q2-2015 (NOK 442 million) and NOK 864 million (NOK 875 million) for the first half of 2015. Net income from property management was NOK 353 million (NOK 363) million) in Q2-2015 and NOK 713 million (NOK 706 million) year to date. Profit before tax was NOK 661 million (NOK 324 million) in the quarter and NOK 1,677 (NOK 415 million) in the first half of 2015.

"I am satisfied with our financial and operational results so far in 2015. Entra's property values have increased with NOK 178 million in the quarter and NOK 893 million during the first six months of 2015 as a result of solid project developments, positive letting activities and yield compression on our central Oslo assets", says Entra's Chief Executive Arve Regland.

"We are proud to have finalised the new build project in Schweigaardsgate 16 in Oslo. Statoil Fuel and Retail occupied the premises late June and we look forward to welcome Dinamo Norge in August", Mr. Regland continues.

Reduction in rental income results from the divestment of 10 non-core properties in Q4-2014 and Q1-2015. The underlying like-for-like rental growth on the lease contracts was 2.2 per cent from Q2-2014 to Q2-2015. Improved operating margin is mainly driven by reduction in administrative costs.

In addition to finalising the new build project in Schweigaardsgate 16 in Oslo Entra has started up two new renovation projects at Helsfyr in Oslo during the second quarter of 2015.

Entra signed new and renegotiated leases with an annual rent totalling NOK 30 million in the quarter and received notices of termination on leases with an annual rent of NOK 4.8 million. Increased rent on the renegotiated contracts was on average 8.6%.

ENTRA: Entra ASA - Wintershall calls option to acquire the property Gullfaks in Stavanger

Oslo - Gullfaks is a 17,900 sqm office building under construction at Hinna Park in Stavanger. Entra and Camar Eiendom owns the property 50/50 through the joint venture Hinna Park AS.

Wintershall Norge AS is the main tenant of the building and has called their option to acquire the property. In addition to the office building, the transaction will also include part of an underground car park. Wintershall will acquire the property when finalised in Q3-2016.

On expected closing in Q3-2016 the total transaction price is estimated to be around NOK 700 million. Book value, when including remaining building cost, is NOK 595 million as of 30.06.2015. Entra will recognise part of the gain as value adjustment in Q3-2015 whilst the remaining will be recognised as income on closing.

I dagens rapport fra Investtech anbefales salg av aksjer i Norske Skog og Seadrill. Entra kan derimot glede seg over en kjøpsanbefaling.

- Entra har tatt ut kursmålene fra salgssignalene i vinter. Kursen reagerer nå opp og den fallende trenden er brutt. Dette signaliserer mer optimistiske investorer. Det er nå støtte ved 74 kroner ved reaksjoner tilbake, og brudd under dette nivået vil være et salgssignal. Volumbalansen er positiv og tyder på at det er et overskudd på kjøpere, noe som styrker aksjen på kort sikt. Aksjen er positiv på innsidehandler. Selskapet la frem kvartalsresultat 14. juli. Vurdering: Svak kjøpskandidat, skriver Investtech.

Entra informerer om utdeling av bonusaksjer.

Staten (og andre) har brukt bonusaksjer for å tiltrekke seg små/privat-investorer, for å øke spredninggraden og sikre det kravet fra Børsen (min 500 eiere fo rhovedlisten).

For ENTRA var ikk det spesiellt attraktivt, men noe var det (1/15-del = +7%).

DNB Markets senker kursmål for Entra ASA (og Norwegian Property)

Begrunnelse: De nye radikale forslagene fra Raymond Johansens nye byråd (byregjering), og spesielt grønnskollingene han har alliert seg med.

Skal vi håpe på at det vil medføre en bølge av søksmål fra kommersielle aktører som får sine verdier redusert/ødelagt pga. av dette, dersom de ikke får ordning til å kunne utnytte sine eiendeler på en rimelig måte?

Entra og NPRO: Negativt påvirket av stengt sentrum

Planene om innføring av eiendomsskatt i løpet av 2017 og stenging av Oslo sentrum for biltrafikk innen 2019 vil etter vårt syn påvirke verdsettelsen av Norwegian Property og Entra. Norwegian Property har i sine standard leiekontrakter betingelser som innebærer at leietaker dekker eventuelle nye skatter, men selskap og leietakere vil etter hvert justere for disse økte kostnadene når nye avtaler skal forhandles. Samtidig vil et forbud mot biler kunne gjøre eiendommer innenfor ring 1 mindre attraktive som leieobjekter relativt til eiendommer f.eks. på Skøyen, Lysaker, Fornebu, samt nord og øst for sentrum. Vi tar anbefalingen på Norwegian ned fra kjøp til Hold og kursmålet er redusert fra NOK 11.50 til NOK 10 pr aksje. Kursen stengte i går på NOK 9.40 pr aksje. Entra har på sin side ikke klausuler i sine leieavtaler om at leietaker tar ansvar for eventuelle nye skatter og selskapet vil dermed i første omgang måtte dekke dette selv for den delen av porteføljen som ligger i Oslo. På den annen side har selskapet de siste månedene annonsert flere større avtaler som støtter våre estimater. Her har vi en uendret holdanbefaling, men kursmålet er redusert fra NOK 78 til NOK 72 pr aksje. Kursen stengte i går på NOK 67.25 pr aksje.

Oslo - Entra ASA recorded rental income of NOK 459 million in Q3-2015 (NOK 448 million). Net income from property management was NOK 378 million (NOK 366) million) and profit before tax was NOK 681 million (NOK 528 million).

Entra's property values have increased with NOK 522 million in the quarter and NOK 1,415 million year to date as a result of solid project developments, positive letting activities and higher valuations of our central Oslo properties", says Entra's Chief Executive Arve Regland.

"We have signed several significant lease contracts and we are proud to have finalised the renovation and new build project in Akersgata 34-36 in Oslo in the quarter", Mr. Regland continues.

The rental income is positively affected by a NOK 30 million lease buy-out at Langkaia 1 in Oslo. The underlying reduction in rental income quarter-on-quarter results from the divestment of 10 non-core properties in Q4-2014 and Q1-2015. The like-for-like rental growth on the lease contracts was 2.1 per cent from Q3-2014 to Q3-2015.

Entra had high letting activity and signed new and renegotiated leases with an annual rent totalling NOK 94 million in the quarter. Net letting was NOK 19 millon, and increased rent on the renegotiated contracts was on average 7.4%.

Entra has together with a partner entered into exclusive negotiations with DnB Livsforsikring regarding the acquisition of 100 % of the shares of Oslo City Kjøpesenter AS. Oslo City Kjøpesenter AS owns the property Oslo City, a combined shopping center and office property located next to the Oslo central station. The property consists of a 33,800 sqm shopping center, 33,700 sqm offices and around 13,100 sqm parking basement. If the transaction is completed the property will be sectioned and Entra will own the office part and 50 % of the parking basement, while the rest will be owned by the partner. The offices are fully let, of which 96 % to public tenants. Total transaction price is estimated to around NOK 5 bn, while Entra's part of the transaction is estimated to around NOK 1.7 bn.

The transaction is subject to satisfactory due diligence, board approval and approval from the Norwegian Competition Authority. The parties expect to enter into a share purchase agreement and to complete the transaction within year-end.

Entra has acquired a land plot in Lars Hillesgate 25 in Bergen for NOK 53 million. The land plot has a prime location opposite Lars Hilles gate 30 where Entra is developing the property MediaCity Bergen through Entra OPF.

Entra will as soon as possible start a zoning process with an ambition to build a new office property on the land plot, supplementing the project in Lars Hilles gate 30 and further strengthening Entra's position in Bergen. Current zoning allows a new-build of approximately 5,800 sqm but Entra has an ambition to increase this to around 10,000 sqm.

Entra has signed an agreement to buy three high quality office properties at Skøyen in Oslo from Norwegian Property ASA. The portfolio comprise about 61,000 sqm gross area, of which around 43,100 sqm office and 2,700 sqm retail. Total transaction price is approximately NOK 2.5 bn.

The transaction is in line with Entra's strategy of growth in central areas of the largest cities in Norway. Skøyen is one of Oslo's most attractive office, retail and residential areas and is one of the city's main transportation hubs. The portfolio is 95% let to high quality tenants with an average remaining lease term of 6.2 years.

"Entra has a very positive outlook on Skøyen and is pleased to take up a significant position through this acquisition. This central and modern portfolio ticks the boxes for Entra strategically and provides significant portfolio and earnings growth going forward", said Arve Regland, Entra's CEO.

The transaction

The transaction is structured as an acquisition of five legal entities that own the three properties Verkstedveien 1, Verkstedveien 3 and Drammensveien 134. The transaction does not involve any employees. Financing of the transaction is secured through debt with a mix of new bond issue of NOK 1.7 bn and existing bank facilities. The combined financing has an average interest cost of 2.1% and an average time to maturity of 5.5 years. The transaction will bring Entra's loan-to value up to 49 % (pro forma as of 31.03.16). Closing is expected to take place on 1 September 2016.

Entras overtagelse av eiendommer på Skøyen for rundt NOK 2.5 mrd er gjort med en implisitt yield på 4.9%, og selskapet tar sikte på å finansiere en betydelig del av dette med banklån samt obligasjonslån med en kostnad på 2.1%.

Avtalen vil på våre estimater løfte justert EPS for 2017 med i overkant av 7% og vi hever kursmålet fra NOK 90 til NOK 95 pr aksje. Vi har en kjøpsanbefaling på Entra og kursen stengte i går på NOK 79.25 pr aksje.

Entra - The Norwegian State, represented by the Ministry of Trade, Industry and Fisheries (the "NMTIF") completes the secondary placement of 30 million shares in Entra ASA.

Reference is made to the announcement on 14 September 2016, where the NMTIF announced a potential sale of up to 30 million shares in Entra ASA (the "Company" or "Entra", OSE-ticker "ENTRA"), representing 16.33% of the share capital and voting rights in the Company.

The NMTIF has today agreed to sell 30 000 000 shares in the company at a price of NOK 83 per share (the "Placement").

The trade date for the Placement is 15 September 2016, with settlement expected to occur on 19 September 2016.

Following completion of the Placement, the Norwegian State, represented by the Ministry of Trade, Industry and Fisheries will own 61,368,893 shares and votes in Entra, representing 33.40% of the share capital and voting rights in the Company.

Subject to certain customary exemptions, NMTIF has undertaken not to dispose of any additional shares in the Company within 90 days following completion of the Placement without the prior written consent of the Joint Bookrunners.

For å besvare mitt eget spørsmål fra 15 Sept., så - ja, J.Fredriksen's Geveran Trading kjøpte 1.7 av de 30 mill aksjene Staten solgte seg ned i ENTRA den 14'de Sept. Aksjene ble godt spredt, største kjøper var Folketrygdfondet (som fortsatt er nest største eier etter Staten med 8.8%, mens nest største kjøper var Bank of NY Mellon, deretter kom Geveran Tr.

Senere ser det ut som om Geveran Trading er i ferd med å selge ut de ny-innkjøpte aksjene igjen. Kun en finansiell plassering altså, Staten vil nok beholde negativ kontroll med sine 33.4%.

ENTRA: Entra ASA - Q3-2016 Continued income and value growth

Oslo - Entra ASA recorded rental income of 477 million in the third quarter 2016, up from 459 million in Q3-2015 (429 million when adjusting for an extraordinary lease buy-out in Q3-2015). Net operating income was 435 million (411 million), and net income from property management was 260 million (258 million). Property values increased by 374 million (522 million). Profit before tax was 757 million (681 million) in the quarter.

"We continue to deliver on our focused strategy and are pleased with an underlying income growth of 11 % year on year, combined with an EPRA NAV growth of 13 % when adjusting for dividends. Net letting has been strong also in this quarter and we are very satisfied to see our occupancy ratio above 96 %, said Arve Regland, Entra's CEO.

Entra has signed new and renegotiated leases with annual rent totalling 118 million (60,000 sqm) during Q3-2016. As of 30.09.2016 the management portfolio occupancy was 96.1 % (94.5 %) and the average unexpired lease term of contracts was 6.8 (7.4) years. Public sector tenants represented 70 % of the customer portfolio.

During the quarter Entra finalised the project Gullfaks at Hinna Park in Stavanger according to plan, and the main tenant Wintershall took over the premises. The property was forward sold to Wintershall in Q3-2015 and the transaction closed on 31 Oct. 2016.

Hjort has furthermore signed a new 10-year contract for 5,100 sqm in Entra's planned new-build project in Universitetsgata 7-9 situated in the Tullin quarter. Hjort will move from Akersgata 51 to the new premises when Universitetsgata 7-9 is expected to be finalised in 2020/2021.

The existing 13,000 sqm office building in Universitetsgata 7-9 is planned to be knocked down and replaced with a new 19,000-21,000 sqm high quality property. In the Tullin quarter, Entra also plans to build a 21,000 sqm university for the Faculty of Law. Both projects are parts of the comprehensive zoning plan for the entire Tullin quarter which is at a final stage and is expected to be finalised and concluded this autumn.

ENTRA: Entra ASA - Signed new lease contracts with The Directorate of Norwegian Customs

The rehabilitation project in Strømsveien 96 is now 100 % let

The Directorate of Norwegian Customs ("Norwegian Customs") has signed 15-year lease contracts for a total of 17,500 sqm in the properties Strømsveien 96 and Tollbugata 1 in Oslo.

Norwegian Customs is currently letting 100 % of Entra's properties in Schweigaardsgate 15 and Tollbugata 1, totalling approximately 31,500 sqm. The current lease contracts expires 31 December 2020.

Entra has had a long dialogue with Norwegian Customs to find an optimal solution, and the parties have now agreed on the following:

1. Customs Region Oslo and Akershus, currently occupying 7,500 sqm in Schweigaardsgate 15 and all of Tollbugata 1, will let the remaining 8,500 sqm in the project at Strømsveien 96 at Helsfyr and will move in by September 2017. The newly renovated property in Strømsveien 96 will then be 100 % let.

2. Tollbugata 1, consisting of two buildings of 9,000 sqm adjacent to Oslo Central station, will undergo a comprehensive renovation expected to be completed in 2019. The Directorate of Norwegian Customs will then move from Schweigaardsgate 15 to Tollbugata 1, which will be 100 % let.


Following the Directorate of Norwegian Customs moving into Tollbugata 1, Schweigaardsgate 15 will be vacated in 2019, two years prior to current contract expiration. Schweigaardsgate 15 has a prime location close to the Oslo Central Station. The property is in need of renovation, and Entra aims to upgrade the property into a modern and efficient office building completed in 2020/2021.

Our properties in Strømsveien 96 and Tollbugata 1 will be fully let on long leases, and we look forward to offer a high quality office building in Schweigaardsgate 15 to the market" says CEO Arve Regland in a comment.

Entra has decided to start construction of a new Powerhouse at the land plot Brattørkaia 17 A in Trondheim. Powerhouse Brattørkaia will be an energy positive and environment friendly office building of approximately 18,200 sqm, of which a 2,500 sqm parking basement. The property is approximately 50 % pre-let to Skanska, Sopra Steria and one tenant who currently wants to be confidential. Construction will commence in March 2017 with a building period of two years.

Powerhouse Brattørkaia will utilise sun and sea water for heating and cooling. The building will be covered by 3,000 square meters of solar panels and thus produce around 500,000 kWh of renewable energy annually. This is more than twice as much as the building consumes for heating, cooling, ventilation and lighting and means that the building has a positive energy balance also when all the energy that goes into building processes, materials and finally demolition is included. The project is aiming for the environmental classification BREEAM Outstanding and Energy class A++.

- Entra has environmental leadership as one of its strategic pillars. Powerhouse Brattørkaia will produce surplus renewable energy enough to recharge 200 electric cars on a sunny day. Ambitious goals and good partners through the Powerhouse co-operation has enabled this innovative project, said CEO Arve Regland in a comment.

Brattørkaia is an old seafront harbour area in the centre of Trondheim, which Entra has transformed into a prime office and cultural area over the last seven years. Construction of a new campus for BI Norwegian Business School is ongoing on the neighboring land plot of Powerhouse and these two projects will complete Entra's urban development project at Brattørkaia.

Entra has entered into an agreement with Samhällsbyggnadsbolaget i Norden AB (publ) regarding sale of Entra's property portfolio in Kristiansand. The Kristiansand portfolio comprise seven properties totaling approximately 45,000 sqm. Total transaction value is NOK 863 million, which represent a premium of 23 % to comparable book values as of 30.09.2016. The transaction value includes full valuation of the new school building under construction in Kongsgård Allé 20 which will be finalised by Entra prior to closing.

Samhällsbyggnadsbolaget i Norden AB (publ) is a Swedish property company in the process of being listed on Nasdaq First North. The transaction is subject to the buyer obtaining satisfactory debt financing. Closing and settlement is expected to take place around 31 March 2017 for all properties except the 2,250 sqm new school building under construction in Kongsgård Allé 20 where closing will take place when the new build is completed, estimated to be in June 2018.

The transaction is structured as a sale of four property companies owning the following properties: Tordenskioldsgate 65, Tordenskioldsgate 67, St. Hansgate 1, Lømslandsvei 24, Lømslandsvei 6, Kongsgård Allé 20 and Vestre Strandgate 21.

The divestment of the Kristiansand portfolio is in accordance with Entra's strategy to focus the portfolio on centrally located office buildings in the four largest cities in Norway. After divesting the Kristiansand portfolio, the process of divesting geographical non-core properties is completed, and all of Entra's properties are located in or around Oslo, Bergen, Trondheim and Stavanger.

Den var en bra rapport, men omtrent som forventet.
Det ekstraordinært høye nettoresultatet skyldes oppskrivning av eiendeler/eiendommer og representerer ikke cashflow.

Aksjen har steget jevnt og trutt de siste månedene siden Staten solgte seg ned til 33.4% den 15 Sept. i fjor høst, og ville ha passert NOK 100/aksje-streken idag uten ex. utbytte (matematisk).

Med utbyttene vi har fått de siste 3 årene representerer det en total avkastning siden børsnoteringen i Okt-2014 på over ca. 65%, eller ca. 25% annualisert. Kjedelig, men OK å ha som en del av en diversifisert portefølje. Og den har faktisk gått mer enn "det ville boligmarkedet" siden IPO.

Kursstigningen de siste månedene har nok mer med at eiendoms-selskap prises med økende P/E-ratio enn ENTRA's økonomiske resultater i seg selv, men selskapet er bra drevet og har en veldig høy utleiegrad, med mye offentlige leietakere.

ENTRA-aksjen ble notert ex. utbytte på NOK 1.75 den 28 april. Selskaper deler nå ut halvårlige utbytter, og siste 12 mnd har aksjonærene mottatt NOK 3.25/aksje.

Oslo - Rental income was up by 16% from 454 million in Q1-2016 to 525 million in Q1-2017. Net income from property management was 311 million (278 million) in the quarter, representing a year-on-year increase of 12%. Net value changes came in at 870 million (20 million) in the quarter and profit before tax was 1,302 million (284 million).

Entra has signed new and renegotiated leases with annual rent totalling 145 million (60,000 sqm) during Q1-2017. As of 31.03.2017 the management portfolio occupancy was 97.5 per cent (94.7 per cent) and the average unexpired lease term of contracts was 6.8 (7.5) years.

During the quarter Entra started up a new 3,200 sqm renovation project at Kjørbo in Sandvika, which is 100% pre-let to Norconsult.

Given a positive vote in the AGM today the Entra share will be trading ex the right to a semi-annual dividend of NOK 1.75 per share from tomorrow 28 April 2017.

Buy ENTRA. NAV growth continues

Recommendation: Buy
Price target: NOK 107.00

Gross Q1 rental income was broadly in line with our estimate, while yield compression on assets and in JVs resulted in a solid NAV uplift. The termination of a large lease in Oslo gave negative net leasing of NOK34m; however, we expect Entra to redevelop the properties concerned in 2018 and 2021. With a raised EPRA NAV and a still-stable outlook for the Norwegian economy, we have raised our target price to NOK107 (105). Our recommendation remains BUY.

J.Fredriksen ble storaksjonær i ENTRA da staten gikk på børs første gang i oktober 2014. Da kjøpte han 18.35 mill. aksjer til 65/aksje, tilsvarende en eierandel på 9.99%.

Nå ser vi han har solgt seg ned, og i går passerte han 5% grensen med et salg på 503 894 aksjer, og har 8.8 mill. igjen på VPS-kontoen sin.

Kursen er på ATH, så en god dag å selge på.

Det skriver meglerhuset i en oppdatering 14. juni, ifølge TDN Finans.

Goldman har en kjøpsanbefaling på Entra og høyner kursmålet på aksjen til 138 kroner fra tidligere 119 kroner.

Meglerhuset viser blant annet til at økningen på 16 prosent i kursmålet reflekterer veksten på 15 prosent i leieprisene i «prime»-kontormarkedet som de venter gjennom 2018.

Entra ventes å legge frem et resultat fra eiendomsdrift på 311 millioner kroner i andre kvartal 2017, sammenlignet med 258 millioner kroner samme periode året før.

Det fremgår av estimater innhentet av SME Direkt for TDN Finans blant åtte analytikere.

Ifølge nyhetsbyrået anslås leieinntektene i snitt til 520 millioner kroner, varierende mellom 513 og 528 millioner kroner.

For hele 2017 estimerer analytikerne at Entra vil ha leieinntekter på 2.082 millioner kroner, mens resultat fra eiendomsdrift ventes til 1.180 millioner kroner i 2017.

Oslo - Rental income was up by 12% to 517 (463) million in Q2-2017 and by 14 % to 1,042 (916) million for the first six months of 2017 compared to the same period last year. Net income from property management was up by 27 % to 328 million (258 million) in the quarter and by 19 % to 638 (536) million for the first six months. Net value changes came in at 1,114 million (526 million) in the quarter and 1,982 (546) million for the first six months. Profit before tax was 1,446 million (790 million) in the quarter and 2,748 (1,074) million for the first six months of 2017. Entra's board has decided to pay out a semi-annual dividend of NOK 2.00 per share for the first six months of 2017, compared to NOK 1.70 per share for the same period last year. The dividend will be paid on 12 October 2017 to all shareholders per 3 October 2017.

Entra has signed new and renegotiated leases with annual rent totalling 44 million (21,000 sqm) during Q2-2017, while net letting in the quarter came in at 10 million. As of 30.06.2017 the management portfolio occupancy increased to 97.7 per cent, and the weighted average unexpired lease term of contracts was stable at 6.8 years.

During the quarter, Entra finalised one 4,200 sqm renovation project (Block 3) and started up a new 3,950 sqm renovation project (Block 2), both at Kjørbo in Sandvika. Norconsult has signed a new 10-year lease for 100 % of Block 2 and also increased the duration of the current lease contracts of 10 950 sqm in Block 1, 9 and 10 at Kjørbo until 31.12.2028.

Entra sold two smaller non-core properties for a total consideration for 254 million in the quarter which was 18 % above book values. On 5 July 2017, Entra announced the acquisition of Skanska's 50 % share of Sundtkvartalet based on a property valuation of NOK 1,590 million. The transactions are in line with Entra's strategy to focus the portfolio on large, flexible, environment friendly properties which are centrally located in the largest cities of Norway.

Oslo - Rental income was up by 6% to 507 (477) million in Q3-2017 and net income from property management was up by 18% to 307 million (260 million). Net value changes came in at 700 million (442 million) and profit before tax was 1,031 million (757 million).

Entra has signed new and renegotiated leases with annual rent totalling 27 million (11,000 sqm) during Q3-2017, while net letting in the quarter came in at 20 million. As of 30.09.2017 the management portfolio occupancy was 97.2% and the weighted average unexpired lease term of contracts was 6.6 years (7.5 years including the project portfolio).

During the quarter, Entra finalised Media City Bergen according to plan. The project has involved total renovation of approximately 35,000 square meters and an extension of approximately 10,000 square meters in Lars Hilles gate 30 in Bergen. The vision of Media City Bergen is to create an environment for innovation and knowledge development within the media industry, through establishing a cluster of media, technology, education and research companies. The property is now 85% let and tenants include TV2, NRK, Bergensavisen, Bergens Tidende, the Media Faculty of Bergen University, Vizrt, Regus, Deloitte and IBM. The property is 50% owned by Entra through Entra OPF.

In July 2017 Entra announced the acquisition of Skanska's 50% share of Sundtkvartalet based on a property valuation of NOK 1,590 million. The transaction closed on 2 October 2017.

Oslo - Rental income was up by 4% from 506 million in Q4-2016 to 526 million in Q4-2017, and by 9% from 1,899 million in 2016 to 2,075 million in 2017. Net income from property management was 314 million (273 million) in the quarter and 1,259 million (1,070 million) for 2017, representing a year-on-year increase of 15% in the quarter and 18% for 2017. Net value changes came in at 865 million (1,128 million) in the quarter and 3,547 million (2,116 million) for 2017. Profit before tax was 1,251 million (1,475 million) in the quarter and 5,030 million (3,306 million) for 2017.

Entra has signed new and renegotiated leases with annual rent totalling 52 million (22,400 sqm) during Q4 and 269 million (115,000 sqm) in 2017. As of 31.12.17 the portfolio occupancy was 97.0% (96.8%) and the average unexpired lease term of contracts was 7.4 (7.7) years.

During the quarter Entra finalised the new-build project Trondheimsporten in Trondheim and the renovation project Powerhouse Kjørbo, block 1. Both properties are fully let on long contracts.

Entra sold the properties Middelthuns gate 29 in Oslo and Tungasletta 2 in Trondheim in the quarter for a total consideration of 1.45 bn. The properties were sold 7 per cent and 9 per cent over book values, respectively.

In line with the dividend policy of distributing approximately 60 per cent of Cash Earnings, the board of Entra propose to distribute a semi-annual dividend of NOK 2.10 per share for the second half of 2017. Entra's total dividend for 2017 will then be NOK 4.10 per share compared to NOK 3.45 per share for 2016.

Entra has acquired two land plots in Johannes Bruns gate 16/16A and Nygårdsgaten 91/93 in Bergen for a total consideration of NOK 135 mill. The land plots are adjacent to Lars Hilles gate 30 where Entra has developed the property Media City Bergen through Entra OPF.

Entra plans to build a new office property on the land plots, supplementing the project in Lars Hilles gate 30 and further strengthening Entra's position in Bergen. Current zoning allows for a new-build of approximately 12,500 sqm.

Entra kjøper en utviklingstomt på Bryn i Oslo. Tomten har en størrelse på 38.140 kvadratmeter, med mulighet for utbygging av 120.000 kvadratmeter boliger og næringslokaler. Transaksjonen har en samlet verdi på 1,1 milliarder kroner, ifølge en børsmelding fredag.

Entra har inngått et samarbeid med JM Norge som senere vil kjøpe tomtearealet for boligutvikling.

Spesifikt vil Entra kjøpe eiendommene Brynsveien 1, 2-4, 3, 5, 6, 8, 11-13 og 12, samt Østensjøveien 39/41 og 43 gjennom fem transaksjoner, som til sammen utgjør 1,1 milliarder kroner.

I tillegg vil Entra betale opptil 0,3 milliarder kroner basert på kriterier i den endelige reguleringsplanen. Sluttføring av transaksjonen ventes i løpet av tredje kvartal 2018.

Ifølge en melding fra JM anslås det at det i området kan utvikles omlag 600 boliger.

Entra has signed a new lease contract with Eksportkreditt for 1,350 sqm in Cort Adelersgate 30. The lease contract has a duration of 10 years starting from 1 June 2019.

Entra has also signed a new lease contract with PwC for 1,700 sqm in Brattørkaia 17 B in Trondheim. The lease contract has a duration of 10 years starting from 1 March 2019.

Finally, Entra has signed the following lease contracts with IwG International Workplace Group (Spaces, Regus):

- 1,700 sqm in the new-build project Powerhouse Brattørkaia in Trondheim. The lease contract has a duration of 10 years starting from August 2019

Entra ventes å legge frem et resultat fra eiendomsdrift på 352 millioner kroner i andre kvartal 2018, sammenlignet med 328 millioner kroner samme periode året før.

Det fremgår av estimater innhentet av SME Direkt for TDN Direkt blant *) fem analytikere.

Leieinntektene anslås i snitt til 550 millioner kroner i kvartalet.

For helåret 2018 estimerer analytikerne at Entra vil ha leieinntekter på 2.197 millioner kroner, mens det i 2019 og 2020 estimeres henholdsvis 2.284 og 2.454 millioner kroner i leieinntekter.

During the quarter, Entra finalised a 10 500 sqm new-build project at Brattørkaia 16 in Trondheim. The property is fully let to BI Norwegian Business School. Entra also started up a 11 500 sqm new-build project in Holtermanns veg 1-13 in Trondheim during the quarter. The project is currently 53% to the Norwegian Tax Authority.

In June 2018, Entra acquired a large development site at Bryn in Oslo. The total land plot is 38 140 square meters with an expected development potential of around 120 000 square meters of office- and residential areas. As part of the transaction, Entra has partnered with JM Norge AS who will later acquire the land zoned for residential development. The total transaction value is NOK 1.1 bn to be paid on closing + up to 0.3 bn to be paid upon zoning. Entra also acquired two adjacent land plots in Bergen for NOK 135 mill. Current zoning allows for a new-build of approximately 12 500 sqm on the land plots. Through these transactions Entra has increased its long-term development pipeline in attractive and centrally located areas in Oslo and Bergen.

Entra ASA ("Entra") has decided to initiate a share buy-back program for up to 2% of the registered shares, representing up to 3,674,649 shares.

The remaining up to 1,227,377 shares will be purchased from the Norwegian state pursuant to an agreement between Entra and the Ministry of Trade, Industry and Fisheries. According to the agreement the Ministry is committed to participate in a share buy-back program on a proportionate basis so that the Ministry's ownership interest in Entra of 33.4% remains unchanged.

Entra has put in place a non- discretionary program (the "Program") for the repurchase of up to 2,447,272 of its ordinary shares (the "Shares"). The Program will be managed by third parties, which will make its trading decisions in relation to the Shares independently of, and uninfluenced by, Entra. Please note this may result in Entra buying shares through periods where the company otherwise would have been restricted.

The shares will be repurchased in accordance with the authorisation given by Entra's AGM on 20 April 2018. Entra will seek approval by the AGM in April 2019 for cancellation of the repurchased shares and a corresponding redemption of the proportionate shares from the Ministry. The market repurchases will have immediate cash flow effects whereas the pro rata redemption from the Ministry will be paid in second quarter 2019.

The buy-back program will be in force until the maximum number of shares as set out above has been acquired, unless the Board resolves to terminate the program at an earlier time.

ABG Sundal Collier oppgraderer sin anbefaling på Entra-aksjen til kjøp fra hold, og høyner kursmålet til 132 kroner fra tidligere 120 kroner pr aksje. Det går frem av et notat torsdag, ifølge TDN.

Meglerhuset gjør positive estimatjusteringer på bakgrunn av gårsdagens rapport for andre kvartal, og har nå mer tro på langsiktig vekst i Entra etter nylige tomtekjøp, introduseringen av et tilbakekjøpsprogram for aksjer, samt aksjens rabatt mot sammenlignbare selskaper etter at sektoren har steget mye hittil i år i Sverige.
